FREE Seminar Series - Demystifying Boardroom Dynamics
Once every few years media exposes a big corporate scam and shakes our belief in the governance mechanism. Can a strong board governance make any difference? Can we over-simplify ways to improve board effectiveness and discover the hidden aspects behind board’s attributes and etiquettes?
The Lee Shau Kee School of Business and Administration (B&A) is proud to present a series of online seminars on DEMYSTIFYING Boardroom Dynamics.
As students pursuing Business Administration or Management courses, it is essential for you to understand how to build an effective board and how good corporate governance practices play an important role.
These seminars hosted by Senior Lecturer Ms. Pooja SHUKLA will give you a virtual tour of how boards around the world function.
The first part of the series contains THREE seminars which will be conducted once every month in August, September and October 2020.

Seminar 1: ESG: Just another Boardroom matter?

Green is the new Black!
From 1 July 2020, Environmental, Social and Governance (ESG) reporting has become mandatory in Hong Kong. The ESG Reporting Guide has necessitated the Board’s responsibilities for constructive disclosures on certain climate-related and social subjects.
This seminar will explore that the model of ESG percolates much deeper in the corporate thread, hence a company’s policy unless is reflective of the Board’s ESG approach and strategy, it would remain just another tick in the box ticking exercise.

How to diagnose if your Board is dysfunctional, and inculcate good practices in recognizing different types of problematic board directors and adopt new approaches on how to address the significant problems caused by this.
This seminar series diagnoses how boring meetings create environments where back-channel politics and personal attacks thrive and ignore controversial topics that are critical to Board’s success.
Ms. Pooja Shukla is a Lawyer and Chartered Secretary holding memberships of 3 institutes internationally: ICSA-United Kingdom, HKICS-Hong Kong and ICSI-India. She obtained her Masters in Commerce and Bachelors in Commerce (Hons. in Finance) and a postgraduate diploma in Journalism.
She scored 17th All-India rank in ICSI and obtained merit in Corporate Governance conducted by HKICS.
With more than 15 years of experience in the corporate sector, she has served as a Board Secretary to various Boards and Committees in various listed companies, banks and MNCs internationally operating in manufacturing, IT, mining, infrastructure, professional services, law firm and telecom businesses. She has also served as a consultant to FTSE 100 companies advising on corporate governance matters in Asia, Middle East and Africa region.
Her focus areas primarily are in the field of corporate governance, company law and boardroom dynamics.­
