    You are advised to have already studied LAW B262.

    Aims
    This course aims to provide students with an understanding of the rationale for adopting governance standards, the nature and purpose of those standards, the modes of implementing good corporate governance practices, the most important contemporary corporate governance issues globally and, in particular, those that relate to Hong Kong and China. Additionally, the course will analyse the importance of corporate social responsibility to equip students with vital knowledge for their future professional careers.

    Contents
    The course covers the following topics:

    • The corporate governance system and its underlying theoretical bases

    • The regulatory framework relating to corporate governance

    • Corporate social responsibility

    • The roles and responsibilities of company officers and auditors in the corporate governance system

    • Stakeholder protection

    • Corporate governance across the world

    Learning support
    There will be four three-hour tutorials.

    Assessment
    There are two assignments and one examination. Students must use word processing software (such as Microsoft Word) to prepare the assignments, and submit the assignments via the Online Learning Environment (OLE).
